These Terms and Conditions ("Terms") govern access to and use of the 4sch Software as a Service platform (the "Service"), operated by 4sch Software as a Service Venture ("4sch", "we", "us", or "our"). 4sch provides a cloud-based school management system designed to support educational institutions, administrators, staff, students, and parents.

By accessing, registering for, or using the Service in any manner, you acknowledge that you have read, understood, and agree to be legally bound by these Terms. If you do not agree, you must not use the Service.

1. Definitions

For the purposes of these Terms, the following definitions apply:

• "Account" means a registered profile created to access the Service.

• "Authorized User" means any individual granted access by a subscribing school, including administrators, staff, students, or parents.

• "Content" means all data, text, records, images, files, information, and materials uploaded, generated, stored, or transmitted through the Service.

• "School" means any educational institution that subscribes to or uses the Service.

• "Subscription" means a paid or trial-based right to access the Service for a defined period.

• "Service" means the 4sch school management system platform, including all features, modules, updates, and support services.

2. Eligibility and Authority

2.1 You must be at least 18 years old or have legal capacity under applicable law to enter into these Terms.

2.2 If you are using the Service on behalf of a School or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms.

3. Scope of Services

3.1 4sch provides a web-based and/or mobile-accessible school management system that may include, but is not limited to:

• Student information management

• Academic records and grading

• Attendance tracking

• Staff management

• Communication tools

• Financial and administrative features

3.2 4sch reserves the right to modify, enhance, suspend, or discontinue any part of the Service at any time, with or without notice, subject to applicable law.

4. Account Registration and Security

4.1 To access the Service, you may be required to create an Account and provide accurate, current, and complete information.

4.2 You are responsible for maintaining the confidentiality of login credentials and for all activities that occur under your Account.

4.3 You agree to notify 4sch immediately of any unauthorized access or suspected security breach.

4.4 4sch shall not be liable for any loss or damage arising from your failure to safeguard Account credentials.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful, fraudulent, or harmful purpose;

• Upload or transmit content that is false, misleading, defamatory, obscene, or infringes intellectual property or privacy rights;

• Attempt to gain unauthorized access to systems, networks, or data;

• Interfere with or disrupt the integrity or performance of the Service;

• Reverse engineer, decompile, or attempt to extract source code from the Service.

6. Data Ownership and License

6.1 User Content Ownership

All Content uploaded or generated by Schools or Authorized Users remains the property of the respective School or user.

6.2 License to 4sch

By using the Service, you grant 4sch a non-exclusive, worldwide, royalty-free license to host, store, process, transmit, and display Content solely for the purpose of providing and improving the Service.

7. Subscription, Fees, and Payment

7.1 Certain features of the Service may require a paid Subscription.

7.2 Subscription fees, billing cycles, and payment terms shall be as communicated at the time of purchase or renewal.

7.3 All fees are exclusive of applicable taxes unless stated otherwise.

7.4 Failure to pay applicable fees may result in suspension or termination of access to the Service.

8. Intellectual Property Rights

8.1 All rights, title, and interest in and to the Service, including software, design, trademarks, logos, and documentation, are owned by or licensed to 4sch.

8.2 Except as expressly permitted, no rights are granted to you under these Terms.

9. Confidentiality

Each party agrees to maintain the confidentiality of non-public, proprietary, or sensitive information obtained through use of the Service, except where disclosure is required by law.

10. Third-Party Services

The Service may integrate with or link to third-party services. 4sch does not control and is not responsible for third-party services, content, or policies.

11. Suspension and Termination

11.1 4sch may suspend or terminate access to the Service if you breach these Terms, misuse the Service, or where required by law.

11.2 Upon termination, access to the Service will cease, and data retention shall be handled in accordance with applicable law and 4sch data policies.

12. Disclaimers

12.1 The Service is provided on an "as is" and "as available" basis.

12.2 4sch makes no warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

13. Limitation of Liability

To the maximum extent permitted by law, 4sch shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of data, revenue, or profits.

14. Indemnification

You agree to indemnify and hold harmless 4sch from any claims, damages, liabilities, and expenses arising out of your use of the Service or violation of these Terms.

15. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to conflict of law principles.

Any disputes shall be subject to the exclusive jurisdiction of the courts of Nigeria.

16. Amendments

4sch reserves the right to modify these Terms at any time. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

17. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
